Limited License

Subject to your compliance with these Terms, Glynac grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes.

Your Content

You retain ownership of any data, information, or materials you submit through the Services. By submitting Your Content, you grant Glynac a worldwide, non-exclusive, royalty-free license to use, process, store, and display Your Content solely as necessary to provide the Services to you.

7. Artificial Intelligence Disclaimer

The Services utilize artificial intelligence and machine learning technologies to generate insights and recommendations. You acknowledge and agree that

• AI-generated content should not be relied upon as the sole basis for investment decisions, compliance determinations, or other business decisions

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, GLYNAC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Glynac does not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components. Any material downloaded or otherwise obtained through the use of the Services is accessed at your own discretion and risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLYNAC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

IN NO EVENT SHALL GLYNAC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF THE AMOUNT YOU PAID TO GLYNAC, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS.

10. Indemnification

You agree to defend, indemnify, and hold harmless Glynac and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, your use of the Services, Your Content, your violation of any rights of a third party, or any claim that Your Content caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Services.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease, we may delete your account and any associated data, and all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Chicago, Illinois. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Equitable Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Glynac regarding your use of the Services and supersede all prior negotiations, representations, or agreements relating to this subject matter.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Glynac shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, or failures of telecommunications or power supply.
